Governance Principles
GRK’s governance is based on the company’s values and ethical business principles, compliance with applicable laws, regulations, and guidelines, as well as these governance principles.
GRK’s decision-making, administration, and operations are guided by GRK’s values and the Principles of Fair Operations (GRK’s Code of Conduct). These elements form the foundation for all activities within the group and define GRK’s way of operating. At GRK, values are at the core, and the Principles of Fair Operations apply equally to board members, management, and all employees across all group companies.
Additionally, GRK complies with the Finnish Companies Act and other laws and regulations applicable to publicly listed companies in Finland, as well as the rules and guidelines of the European Securities and Markets Authority, the Finnish Financial Supervisory Authority, and Nasdaq Helsinki Ltd (“Nasdaq Helsinki”), along with the company’s articles of association. GRK also complies, in full, with the Finnish Corporate Governance Code 2025 (“Corporate Governance Code”), published by the Securities Market Association, which is available at www.cgfinland.fi.
The general meeting, the Board of Directors, and the President and CEO are responsible for the management of the Company, with their duties primarily defined in the Companies Act. The Company’s management and governance are also based on decisions made by the general meeting and the company itself. The Company’s operational management is described in the Company’s management system, which is part of GRK’s certified operating model.
